1. Acceptance of Terms

By accessing or using LyrClip (lyrclip.com), a service provided by Florenzo Technologies ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service.

These Terms apply to all users of LyrClip, including individual users, organisations, and church entities.

2. Description of Service

LyrClip is a software-as-a-service (SaaS) platform that allows users to:

  • Upload video files to secure cloud storage
  • Generate AI-powered transcripts with timestamps
  • Create video clips by selecting portions of the transcript
  • Download rendered clip files

We reserve the right to modify, suspend, or discontinue any feature of the service at any time.

3. Account Registration

To use LyrClip, you must create an account by providing a valid email address and creating a password, or by using a supported OAuth provider (Google or Facebook).

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use at hello@lyrclip.com

You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to use LyrClip to:

  • Upload content you do not own or have rights to process
  • Upload pornographic, violent, or illegal content
  • Violate any third party's intellectual property rights
  • Attempt to reverse-engineer, scrape, or abuse the platform
  • Use the service for any unlawful purpose
  • Upload malware or harmful code

We reserve the right to suspend or terminate accounts that violate these conditions without notice.

5. Content Ownership & License

Your content:

You retain full ownership of all video files and content you upload to LyrClip. We do not claim any ownership over your uploads.

License you grant us:

By uploading content, you grant Florenzo Technologies a limited, non-exclusive, royalty-free license to store, process, and transmit your content solely for the purpose of providing the service to you. This license ends when you delete your content or close your account.

Responsibility:

You represent and warrant that you own or have sufficient rights to upload and process the content you submit. You are solely responsible for ensuring your use of uploaded content does not infringe any third-party rights, including copyright.

Important note on sermon content:

If your sermon video includes copyrighted music (e.g., worship songs), you are responsible for ensuring you have the appropriate licenses before redistributing clips containing that music on social platforms.

6. Payments & Billing

Subscription:

Paid plans are billed on a monthly or annual basis. Billing begins on the date you upgrade and recurs on the same date each period.

Payment:

Payments are processed by Stripe. By subscribing, you authorise Florenzo Technologies to charge your payment method on a recurring basis.

Cancellation:

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.

Trials:

Where a free trial is offered, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid any charge.

Price changes:

We will provide at least 30 days notice of any price changes via email.

7. Intellectual Property

LyrClip, the LyrClip logo, and all associated software, designs, and trademarks are the property of Florenzo Technologies. You may not use our branding, trademarks, or intellectual property without prior written permission.

The LyrClip platform, including its AI transcription pipeline, matching engine, and clip rendering infrastructure, is proprietary software owned by Florenzo Technologies.

8. Termination

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms
  • We are required to do so by law
  • Your account has been inactive for more than 12 months on a free plan

You may terminate your account at any time by deleting it from your account settings. Upon termination, your data will be deleted within 30 days.

9. Disclaimers

LyrClip is provided "as is" and "as available" without warranties of any kind. We do not guarantee that:

  • The service will be uninterrupted or error-free
  • Transcription will be 100% accurate
  • Clips will render perfectly in all edge cases

We are not responsible for any content you upload, share, or distribute using LyrClip.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Florenzo Technologies shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of LyrClip, including loss of data, loss of revenue, or reputational damage.

Our total liability to you for any claim arising out of or related to these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos, Nigeria, unless applicable consumer protection laws in your jurisdiction require otherwise.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the new Terms.
